1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "your") and Flux88 LLC ("Flux88," "we," "us," or "our") governing your access to and use of the flux88.io website (the "Site") and any services provided by Flux88.

By accessing or using the Site, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Site.

2. Services

Flux88 provides custom software development, design, AI integration, and related technology consulting services. The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate Statement of Work ("SOW") or project agreement between Flux88 and the client.

The information provided on this Site is for general informational purposes only and does not constitute a binding offer or contract for services.

3. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof — are owned by Flux88, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

For client projects, intellectual property ownership and licensing terms will be defined in the applicable SOW or project agreement. Unless otherwise specified in writing, upon full payment, the client receives ownership of all custom code, designs, and deliverables created specifically for their project.

4. User Representations

By using the Site, you represent and warrant that:

• You have the legal capacity to comply with these Terms
• You are not a minor in the jurisdiction in which you reside
• You will not access the Site through automated or non-human means
• You will not use the Site for any illegal or unauthorized purpose
• Your use of the Site will not violate any applicable law or regulation

5. Payment Terms

Payment terms for services will be outlined in the applicable SOW or project agreement. Unless otherwise agreed in writing:

• A deposit may be required before work commences
• Invoices are due within 15 days of receipt
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• Flux88 reserves the right to suspend work on any project with overdue payments

6. Project Scope and Changes

Any changes to the agreed-upon project scope must be documented in writing and may result in adjustments to the timeline and cost. Flux88 will provide estimates for scope changes before proceeding with additional work.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of an engagement. This obligation survives the termination of any agreement between the parties.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Flux88, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Site or services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall Flux88's total liability exceed the amount paid by you to Flux88 in the twelve (12) months preceding the claim.

9. Warranty Disclaimer

The Site is provided on an "AS IS" and "AS AVAILABLE" basis. Flux88 makes no warranties, expressed or implied, regarding the Site's operation or the information, content, or materials included thereon. To the full extent permissible by applicable law, Flux88 disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

10. Indemnification

You agree to defend, indemnify, and hold harmless Flux88 and its subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Site or breach of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Palm Beach County, Florida.

12. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
